Volunteer Role Description: Board of Directors
Position
The Board will support the work of the NCPTF and provide mission-based leadership and strategic governance. While day-to-day operations of the organization are led by Chief Executive Officer, Kevin Branzetti, the Board-CEO relationship is a partnership, and the consistent involvement of the Board is both expected and critical to the success of the organization. Specific Board Member responsibilities include the following leadership, governance, and oversight:
- Know NCPTF’s mission, policies, programs, needs, and collective purpose.
- Follow the organization’s bylaws, policies, and board resolutions.
- Serve as a trusted advisor to the CEO as he develops and implements the organizational strategic plan.
- Approve NCPTF’s annual budget, audit reports, and business decisions; being informed of, and meeting all, legal and fiduciary responsibilities.
- Contribute to an annual performance evaluation of the CEO.
- Review organizational outcomes and metrics created by the organization for evaluating impact, and regularly measure performance and effectiveness.
- Review agenda and supporting documents prior to all board and committee meetings. Attend at least 70% of all meetings.
- Assist the CEO and Board Chair in both identifying and recruiting other Board Members.
- Serve on committees or task forces and take on special assignments as needed.
- Represent NCPTF to stakeholders and act as an ambassador for the organization.
- Leverage connections, networks, and resources to develop collective action to achieve NCPTF’s mission.
- Ensure NCPTF’s ongoing commitment to a diverse board and staff that reflects the communities NCPTF serves.
- Sign an annual conflict-of-interest disclosure and update it during the year as needed, as well as disclose potential and actual conflicts in a timely manner.
- Partner with the CEO and Board to ensure that resolutions are carried out.
- Maintain confidentiality about all internal matters of the organization.
Philanthropy
NCPTF’s Board Members will consider philanthropy a priority and make an annual gift that reflects that priority. This will also assist NCPTF with soliciting contributions from foundations, organizations, and individuals that expect to have 100% of the Board making an annual gift that is commensurate with their capacity.
Participation
NCPTF’s Board Members will serve a three-year term to be eligible for re-appointment for one additional term. Board meetings will be held monthly with a minimum of 1 meeting a year being in-person. If a Board Member must step aside from their term, they will give a 3-month notice and assist in finding their replacement, if possible.
Qualifications
This is an extraordinary opportunity for an individual passionate about the NCPTF Mission. Selected Board Members will have achieved significant leadership stature in business, government, philanthropy, or the nonprofit sector. His/her accomplishments will allow him/her to attract other well-qualified, high-performing Board Members. Ideal candidates will have the following qualifications:
- Integrity, credibility, and a passion for improving the lives of NCPTF’s Beneficiaries, as well as the NCPTF Team and Volunteers.
- Extensive professional experience with significant executive leadership accomplishments in the sectors aforementioned.
- Savvy diplomatic skills and a natural ability for cultivating relationships.
Service on the NCPTF Board of Directors is without compensation, except for administrative support, travel, and accommodation costs in relation to Board Member duties.
